Terms of Service

Section 01
Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and BitBridge ("BitBridge," "we," "us," or "our") governing your access to and use of the BitBridge platform, including the Bitcoin Savings Account (BSA) product and all related services.

By creating an account, opening a BSA, or otherwise using BitBridge's services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, do not create an account or use BitBridge's services.

These Terms should be read alongside BitBridge's Important Disclosures and Privacy Policy, both of which are incorporated herein by reference.

Section 02
Eligibility

To open a BitBridge account and BSA, you must:

  • Be at least 18 years of age
  • Be a resident of the United States
  • Have a valid U.S. government-issued photo identification
  • Provide accurate and complete registration information
  • Not be located in or acting on behalf of a person in a U.S.-sanctioned jurisdiction
  • Not be prohibited from receiving financial services under applicable law

BitBridge reserves the right to refuse service to any individual or entity at its sole discretion and without explanation, including where eligibility requirements are not met.

Section 03
Account Registration & KYC

To access BitBridge's services, you must register for an account by providing accurate personal information including your full name, date of birth, email address, phone number, and residential address. You are also required to complete identity verification by submitting a valid government-issued ID (state-issued ID or driver's license).

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify BitBridge immediately at support@bitbridge.holdings if you suspect unauthorized access to your account. BitBridge is not liable for any loss arising from unauthorized account access where you have failed to safeguard your credentials.

Each person may hold only one account. Opening multiple accounts is prohibited and may result in account suspension and forfeiture of BSA proceeds.

Section 04
Bitcoin Savings Accounts

A Bitcoin Savings Account is a managed digital asset account through which BitBridge deploys client deposits into a Bitcoin-based position on the client's behalf. Each BSA is an independent position with its own setup date, holding period, and projected return.

Key terms of each BSA:

  • Minimum deposit per BSA: $1,000
  • Minimum holding period: 3 years
  • Target term: 5 years
  • Deposits are made in Bitcoin to a unique wallet address provided by BitBridge
  • Returns are calculated in USD based on the value of the position at exit

BitBridge retains full discretion over how client deposits are managed within the BSA. BitBridge does not disclose its investment methodology. Clients are not entitled to audit, direct, or influence the management of their BSA position.

Projected returns presented during BSA setup are estimates only and are not binding commitments. Actual results will vary based on market conditions at the time of exit.

Section 05
Fees

Setup Fees (non-refundable):

  • First BSA: $100 one-time setup fee
  • Each additional BSA: $50 one-time setup fee

Setup fees are due at the time of BSA creation and are non-refundable under any circumstances, including in the event the client does not complete their Bitcoin deposit.

Performance Fee: BitBridge earns a performance fee at exit, deducted from gross proceeds before disbursement to the client. No performance fee is charged if the position does not generate a return above the client's deposited principal.

Early Withdrawal Fee Schedule: If you exit a BSA before the completion of the 5-year term, the following fees apply based on how long the BSA has been active:

Early withdrawal fees are calculated against the total Bitcoin position value at the time of the approved exit, not the client's original deposit amount. All fees are deducted prior to final disbursement.

Section 06
Withdrawals & Early Exit

BSAs have a minimum holding period of 3 years. After 3 years, clients may submit an exit request through their account dashboard. Exit requests are subject to review and BitBridge will process approved exits within a reasonable timeframe.

Early exit before the 3-year minimum is available only in exceptional circumstances, including documented financial hardship or medical emergency, at BitBridge's sole discretion. All early exits are subject to the applicable fee schedule in Section 05.

At the end of the 5-year term, BitBridge will close the position and disburse proceeds to the client. Clients who do not submit an exit request at term end will have their position rolled into a continuation period at BitBridge's discretion until the client requests disbursement.

ImportantBitBridge does not guarantee the timing of exit processing. Delays may occur due to market conditions, liquidity constraints, or operational requirements. BitBridge is not liable for losses arising from processing delays.
Section 07
Prohibited Conduct

You agree not to use BitBridge's services to:

  • Deposit funds derived from illegal activity, including money laundering or fraud
  • Open accounts using false or borrowed identity information
  • Circumvent or attempt to circumvent BitBridge's KYC/AML procedures
  • Transfer, sell, or assign your BSA or account to any other person
  • Interfere with or disrupt BitBridge's platform, systems, or infrastructure
  • Engage in any action that violates applicable federal, state, or local law

Violation of any prohibited conduct may result in immediate account suspension, forfeiture of BSA proceeds, and referral to law enforcement where applicable.

Section 08
Intellectual Property

All content, branding, design, text, graphics, and software comprising the BitBridge platform are the exclusive property of BitBridge and are protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any BitBridge content without express written permission.

BitBridge's name, logo, and "Bitcoin Savings Account" product name are proprietary marks of BitBridge. Unauthorized use is strictly prohibited.

Section 09
Disclaimers

BitBridge's services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. BitBridge does not warrant that the platform will be uninterrupted, error-free, or free from harmful components.

BitBridge expressly disclaims all warranties regarding investment performance, including any implied warranty of profitability, fitness for a particular financial purpose, or suitability for the client's specific investment objectives.

BitBridge is not a fiduciary. Nothing in these Terms or in BitBridge's communications creates a fiduciary duty between BitBridge and the client.

Section 10
Limitation of Liability

To the fullest extent permitted by applicable law, BitBridge, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of Bitcoin, loss of data, or market-related losses, arising out of or related to your use of the BSA service.

In no event shall BitBridge's total cumulative liability to any client exceed the total amount of setup fees paid by that client to BitBridge in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, BitBridge's liability is limited to the minimum extent permitted by law.

Section 11
Indemnification

You agree to indemnify, defend, and hold harmless BitBridge and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the platform; (ii) your violation of these Terms; (iii) your violation of any applicable law; or (iv) any false or inaccurate information you provide to BitBridge.

Section 12
Termination

BitBridge may suspend or terminate your account at any time and for any reason, including for violation of these Terms, suspected fraudulent activity, or failure to complete identity verification. In the event of termination, BitBridge will endeavor to return the client's deposited principal (net of applicable fees and any market losses) within a reasonable timeframe.

You may close your account at any time by submitting a written request to support@bitbridge.holdings. Account closure does not waive applicable fees on open BSA positions.

Section 13
Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. BitBridge is organized and operates under Wyoming law, which provides specific statutory recognition of digital assets under the Wyoming Digital Asset Act (W.S. § 34-29-101 et seq.). This framework affords clients clear legal protections regarding the classification, ownership, and custody of digital assets held on their behalf.

Any dispute arising out of or relating to these Terms or the BSA service shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to binding arbitration administered in Cheyenne, Wyoming, under the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You waive the right to participate in any class action lawsuit or class-wide arbitration against BitBridge. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Section 14
Changes to These Terms

BitBridge reserves the right to update or modify these Terms at any time. Material changes will be communicated to clients via email at least 14 days before taking effect. Your continued use of the platform following notice constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must notify BitBridge before the effective date and may request account closure and disbursement of your BSA position in accordance with the applicable exit fee schedule.
